Welcome to Plero, a business management platform built for creative professionals. These Terms of Service ("Terms") govern your use of the Plero platform, website, and related services (collectively, the "Service").
By creating an account or using the Service, you agree to these Terms. If you're accepting these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity.
Quick Summary (not legally binding):
- You own your data. We help you manage it.
- We use your data only to provide the Service.
- You're responsible for your studio and team.
- We can terminate accounts that violate these Terms.
- We try to keep the Service running, but can't guarantee 100% uptime.
1. Definitions
"Studio" — Your organization's workspace within Plero, containing your clients, projects, invoices, and other business data.
"Tenant" — A Studio and all of its associated data, users, and configurations. Each Tenant is logically isolated from other Tenants.
"Studio Owner" — The person who created the Studio account and has full administrative control.
"Team Member" — A person invited to access a Studio with specific permissions granted by the Studio Owner.
"Contractor" — A freelancer or vendor who has been granted limited access to specific projects within a Studio via the contractor portal.
"End User" — Any person who accesses the Service, including Studio Owners, Team Members, and Contractors.
"Content" — Any data, text, files, images, or other materials you upload, create, or store through the Service.
"We," "Us," "Our" — Passionate Pursuit Design Studio LLC, the company that operates Plero.
"You," "Your" — The person or entity agreeing to these Terms.
2. Account Registration
2.1 Creating an Account
To use Plero, you must:
- Provide accurate, current, and complete information
- Be at least 18 years old or the age of majority in your jurisdiction
- Not be prohibited from receiving the Service under applicable laws
2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
We recommend enabling two-factor authentication when available.
2.3 One Person, One Account
Each person should maintain only one account. A Studio Owner may have multiple Studios, but should not create duplicate personal accounts.
3. Your Responsibilities
3.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy. You will not:
- Use the Service to harm, threaten, or harass others
- Upload malicious code, viruses, or harmful content
- Attempt to access other Studios' data
- Use automated means to access the Service without permission
- Violate any applicable laws or regulations
3.2 Your Content
You are solely responsible for:
- The accuracy and legality of Content you upload
- Ensuring you have rights to use and share your Content
- Backing up your Content (though we maintain backups as well)
We do not claim ownership of your Content. You retain all rights to the Content you upload.
3.3 Your Team
As a Studio Owner, you are responsible for:
- Managing Team Member access and permissions
- Ensuring Team Members comply with these Terms
- Removing access for Team Members who leave your organization
3.4 Your Contractors
When you invite Contractors to your Studio:
- You determine what information they can access
- You are responsible for their compliance with these Terms
- You should remove access when the relationship ends
4. Our Responsibilities
4.1 Service Availability
We strive to maintain high availability, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible)
- Unscheduled maintenance to address critical issues
- Circumstances beyond our reasonable control
4.2 Data Protection
We take data security seriously:
- Your data is encrypted in transit and at rest
- Your Studio data is logically isolated from other Studios
- We implement industry-standard security measures
- We will notify you of data breaches affecting your account

4.3 Support
We provide support through:
- In-app help documentation
- Email support at support@plero.ai
- Response times based on your subscription tier
5. Data and Privacy
5.1 Data Ownership
You own your Content. We do not sell your data to third parties.
5.2 Data Processing
By using the Service, you grant us a limited license to:
- Store and process your Content to provide the Service
- Create backups of your Content
- Analyze aggregated, anonymized usage patterns to improve the Service
This license ends when you delete your Content or close your account.
5.3 Multi-Tenant Architecture
Plero is a multi-tenant platform. This means:
- Multiple Studios share the same infrastructure
- Your data is logically separated from other Studios using unique identifiers and row-level security
- No other Studio can access your data
5.4 Privacy Policy
Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you agree to our Privacy Policy.
5.5 AI Features (Chloe)
Plero includes an AI assistant named Chloe. When you use Chloe:
- Your conversations are processed by our AI provider (Anthropic)
- Conversation content may include your business data
- You can delete conversations at any time
- We do not use your conversations to train AI models
6. Payments and Billing
6.1 Subscription Plans
Plero is offered as a subscription service. Current plans and pricing are available on our website.
6.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis
- All fees are in US dollars unless otherwise stated
- Fees are non-refundable except as required by law or stated in these Terms
6.3 Payment Processing
We use Stripe to process payments. By providing payment information, you:
- Authorize us to charge your payment method
- Agree to Stripe's terms of service
- Confirm the payment information is accurate
6.4 Price Changes
We may change our prices with 30 days notice. Price changes take effect at your next billing cycle. If you disagree with a price change, you may cancel before the new pricing takes effect.
6.5 Taxes
You are responsible for all applicable taxes. We will collect taxes where required by law.
6.6 Late Payments
If payment fails:
- We will attempt to charge your payment method again
- We may restrict access to the Service after 7 days of non-payment
- We may terminate your account after 30 days of non-payment
7. Intellectual Property
7.1 Our Intellectual Property
Plero, including its design, features, code, and branding, is owned by Passionate Pursuit Design Studio LLC. You may not:
- Copy, modify, or distribute our software
- Use our trademarks without permission
- Reverse engineer the Service
7.2 Your Intellectual Property
You retain all rights to Content you create or upload. By using the Service, you grant us a limited license only as necessary to provide the Service.
7.3 Feedback
If you provide suggestions, ideas, or feedback about the Service, we may use this feedback without obligation to you.
8. Termination
8.1 Termination by You
You may cancel your subscription at any time through your account settings. Upon cancellation:
- You will have access until the end of your current billing period
- You can export your data before your account is closed
- After 30 days, your data will be permanently deleted
8.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms or our Acceptable Use Policy
- You fail to pay for 30 or more days
- Your use poses a security risk to the Service or other users
- Required by law
We will provide notice and an opportunity to cure violations when reasonable.
8.3 Effect of Termination
Upon termination:
- Your right to use the Service ends immediately
- You remain liable for any outstanding fees
- Provisions that should survive termination will survive (e.g., liability limitations, indemnification)
8.4 Data Export
Before account termination, you may request an export of your data. We will provide data in a standard format (JSON or CSV) within 14 days of request.
9. Disclaimers
9.1 "As Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF RESULTS
9.2 No Professional Advice
Plero is a business management tool. It does not provide legal, financial, tax, or accounting advice. You should consult qualified professionals for such matters.
9.3 Third-Party Services
The Service may integrate with third-party services (e.g., Stripe, calendar apps). We are not responsible for the availability, accuracy, or policies of third-party services.
10. Limitation of Liability
10.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100, WHICHEVER IS GREATER.
10.2 Exclusion of Damages
WE ARE NOT LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL
- SERVICE INTERRUPTIONS OR DATA LOSS
These limitations apply even if we knew or should have known about the possibility of such damages.
10.3 Basis of the Bargain
The limitations in this section are fundamental elements of the agreement between you and us. The Service would not be provided without these limitations.
11. Indemnification
You agree to defend, indemnify, and hold harmless Passionate Pursuit Design Studio LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your Content
- Your violation of any third-party rights
12. Dispute Resolution
12.1 Informal Resolution
Before filing a formal dispute, you agree to contact us at legal@plero.ai to attempt informal resolution. Most concerns can be resolved quickly this way.
12.2 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
12.3 Arbitration
Any dispute not resolved informally will be resolved through binding arbitration under the American Arbitration Association's rules. Arbitration will be conducted in:
- English
- In the state of the defending party
- By a single arbitrator
12.4 Class Action Waiver
You agree to resolve disputes individually. You waive any right to participate in class actions or class arbitration.
12.5 Exceptions
Either party may seek injunctive relief in court for intellectual property violations or security breaches without first arbitrating.
13. Changes to These Terms
13.1 Notice of Changes
We may update these Terms from time to time. When we make changes:
- We will update the "Last Updated" date
- We will notify you via email or in-app notification for material changes
- We will provide at least 30 days notice for significant changes
13.2 Continued Use
Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you disagree with changes, you should stop using the Service before the new Terms become effective.
13.3 Re-Consent
For significant changes affecting your rights, we may require you to actively accept the new Terms before continuing to use the Service.
14. General Provisions
14.1 Entire Agreement
These Terms, along with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and us regarding the Service.
14.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
14.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
14.5 Force Majeure
We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, government actions, or internet outages.
